This agreement ("Agreement") is entered into between client, known for the purpose of this Agreement as "Client," and Flaunt Creative, LLC, hereafter known as "Designer." The Agreement refers to the following graphic design project (hereafter referred to as "Work"):
Duration This Agreement commences on the day listed above, and continues through the date in which point all Work is expected to be completed to Client's satisfaction. Extensions may be requested by Designer.
Payment Unless a scheduled payment plan has been agreed upon, all payments are expected to be received before Work is started by Designer. All unpaid balances after (30) days are subject to a 10% late fee. No refunds will be honored after work has commenced.
Additional Fees Client agrees to pay Designer for revisions made after a design element’s finalization or for add-on design, web maintenance, consulting/training/support and printing options. Client will be quoted and invoiced.
Originality Designer warrants that its designs are of its own creation and are not copied from existing trademarks. Any design similarities found elsewhere are purely coincidental. Designer does not guarantee that any design elements provided by Client are of original origin and is not liable for any damages or violations.
Colors Color palettes appear differently in digital (RGB) and print (CMYK) formats. Design elements should be viewed by Client on several digital surfaces (monitor, tablet, mobile device) and print stocks before final approval is given. Designer guarantees a 90-95% color match, per industry standard.
Text Content It is the responsibility of the Client to provide Designer with any applicable text copy. Copy editing available for an additional fee.
Revisions Revisions will be completed by Designer within 1-2 business days of request, unless otherwise noted. Client agrees to review changes and notify Designer within 2-business days to approve revision or make further suggestions.
File Delivery After all Work is completed, Designer agrees to deliver the Work to Client as digital files (.jpeg, .png, .gif, .pdf, .eps, and/or .psd graphics file formats) via email link to secure, digital drive.
Data Upon delivery of Work to Client, Designer assumes no responsibility for data loss.
Right to Modify (Alterations) Client understands that they have no right to alter the Work in any way except to change its size for printing or digital display. If Client desires any alterations they will consult Designer first, and will allow Designer the first option to make alterations when possible. Additional revision fee may be required.
Client Responsibilities Client agrees to provide Designer with a conclusive design brief and clearly communicated feedback for revisions so that the Work may be completed in a timely manner and to Client's satisfaction. Clients are required to provide Designer with any necessary content/design information within 5-business days of request. In order to prevent delays in completion of Work, items will be forfeited if necessary information is not provided.
Confidentiality Client and Designer agree to discuss the Work listed above with only one another and any other agreed upon parties.
Rights Rights, including copyright, ownership, and publishing rights, to this Work belong to Designer until all Work is finalized, at which point Client and Designer will share the copyrights to final Work; only Designer will hold ownership of process Work. Designer agrees to only use Work for self-promotion. Client is welcome to register the trademark logo design as created for Client by Designer. In the event that payment is not made in full, within the agreed upon time-frame, all rights and trademarks are reverted back to Designer.
